Scope of Work

What the practice covers.

  • We counsel principals on the orderly transfer of ownership and authority across generations — governance instruments, trustee arrangements and the family conversations that documents alone cannot resolve.

  • We serve as an independent voice to boards and investment committees — evaluating transactions, challenging assumptions and providing analysis untainted by execution incentives.

  • Periodic reviews of balance-sheet structure, liquidity and funding options ensure the enterprise's capital position serves its strategy — not the other way around.

  • For families formalising their affairs, we design the office around the family: investment policy, governance frameworks, reporting disciplines and the selection of key personnel and partners.

Discovery

Every engagement begins with deep listening — understanding the family or enterprise, its history, its ambitions and the dynamics that numbers alone do not capture.

Framework Design

We design the governance, succession or capital-strategy framework collaboratively, testing it against realistic scenarios before anything is formalised.

III

Implementation

Frameworks are implemented alongside the client's existing advisers — counsel, tax and fiduciary — with SENS coordinating to keep the whole coherent.

IV

Standing Counsel

Most strategic counsel relationships are continuing ones. We serve as a standing sounding board to principals and boards as circumstances evolve.

Succession planning — family enterprise

Counselled the principals of a second-generation family enterprise through a multi-year succession plan, including governance redesign and the establishment of a dedicated family office.

Board advisory — recapitalisation

Served as independent adviser to the board of a private company evaluating recapitalisation options, providing analysis and negotiation support through to a completed minority sale.
